Hi all, 

Having spent time with all of the companies over the past few months, I have learnt a huge amount about the companies and their teams. However, one of my core reflections is the strength of the leadership of our principals across the group. 

What defines the term “leadership” is an open question and the answer perhaps always lies in the eye of the beholder. Fundamentally what I have seen at the core of leadership across the group is that it is driven by the values and qualities of each individual principal – resilient, accountable and empowering being a few I could shortlist for many I have spent time with. 

I have also seen the bravery of our principals daring to be different, challenging the status quo, being innovative and daring to lead the way facing the headwinds that this also sometimes creates. This is in my view what makes MBH unique. The autonomy our principals have is purposeful, we exacerbate our own values of trust and collaboration and encourage our principals to lean into their natural leadership because fundamentally they are change makers. 

I’ve witnessed how they have changed and improved landscapes, health, jobs and lives through the tireless work that they do. 

I am grateful to them all for their commitment, and equally to all our investors who value our approach as we continue on our journey.

AGM Outcomes 2023
The AGM was held in the UK on the 28th of June 2023 with some of our directors and key management joining online from overseas. 

Resolutions 1 to 11 (inclusive) and 13 were proposed as ordinary resolutions and Resolution 12 was proposed as a special resolution.

The resolutions proposed to shareholders were all part of our enhanced strategic focus on transforming the business to the next level with a clear focus on industry vertical growth over the coming year and beyond, with both organic and inorganic growth (through acquisitions) being a key part of the vertical strategies for each industry. Our first acquisition of 2023 is an example of our approach.

To support this strategy, it was proposed to elect more Principals to the MBH Board of Directors as they are the industry experts who are key to our success.

This interview raised important questions about the need for greater inclusivity and representation in boardrooms, urging companies to embrace diversity for the sake of talent, creativity, and societal fairness. 

Lisa stressed the importance of diversity, citing its contribution to innovation, as it brings together a variety of perspectives and ideas, while Neil shared his aspiration to transition into the business world after his sporting career, underscoring the parallels between the two domains.

Issue Of Equity Announcement
 
MBH has announced on 20 June 2023 that it will be issuing 3,935,433 Ordinary Shares of €0.01 per share (“New Shares”) at a price of €0.30 per share, following the conversion of MBH listed bonds and loan notes totalling €1,180,630 under terms of an agreement entered into by the Company. The New Shares rank pari passu with existing shares in issue. Application will be made for the New Shares to be admitted to trading on the AQSE Growth Market and admission is expected to become effective, and dealings in the New Shares are expected to commence on or around 23 June 2023.

The conversion of the MBH listed bonds and loan notes to ordinary shares is by Paul Seabridge, CEO, Robinsons Caravans – an MBH Corporation company. Paul was integral to the recent MBH acquisition of White Arches Caravans and Motorhomes which became part of the MBH Leisure Vertical Business Line in May – one of the Group’s fastest growing verticals.

This level of involvement engages them in development of not only the company they lead but also in the overall success of all Group companies that are part of MBH.

“We are delighted that bond holders recognise the value of owning shares in MBH and are willing to trade bonds at a share price of €0.30, which shows enormous trust in the future of MBH.  It will likely be reassuring to investors that it is one of our Group company leaders who is showing this commitment, based on his detailed understanding of the potential of the Group. This issue of equity is also a statement of Paul’s long-term commitment to MBH”.

MBH CEO Victoria Sylvester recently embarked on an exciting journey across the globe. The purpose? To personally visit MBH Group companies, engaging with their teams and gaining valuable insights in the daily operations, discussing strategy, vision and challenges.
